Terms of Service

1. Scope

These terms apply to all B2B software development, IT support and consulting services provided by NRG Capital OÜ to business customers. Services are not offered to consumers.

2. Project scope

The scope, deliverables and timeline of each project are agreed in writing (including by email) before work begins. Changes to the scope must also be agreed in writing.

3. Fees and payment terms

Hourly work is billed monthly at €100/h. Support retainers are billed monthly in advance. Fixed-price projects are invoiced as agreed in the written quote. Invoices are payable within 14 days of the invoice date. All prices are in EUR, excl. VAT where applicable. Late payments may incur statutory interest.

4. Customer obligations

The customer provides timely access, information and feedback needed to perform the services.

5. Intellectual property

Upon full payment, rights to work created specifically for the customer transfer to the customer, unless agreed otherwise in writing.

6. Limitation of liability

Our total liability arising from or related to the services is limited to the fees paid by the customer for the services giving rise to the claim. We are not liable for indirect or consequential damages, including lost profits or data, except where such limitation is not permitted by law.

7. Governing law and jurisdiction

These terms are governed by the laws of the Republic of Estonia. Any disputes shall be resolved by the courts of Tallinn, Estonia (Harju County Court).
